Legal, Social, Ethical Environment of Global Business

全球商务的法律、社会和道德环境

 

 

 

本课程对学生需要了解的全球企业运作的法律、道德和监管环境做了概述，主要侧重于商业在社会中的作用，以及对法律制度的审查，包括就业法、法院制度、合同法、知识产权和国际法。贯穿于本课程的问题不仅与法律有关，还与企业对社会的道德和责任有关。更具体地说，由于国际市场对中国企业的关注，中国企业的投资一直是国际上的热门话题，因此，学生将在本课程中学习基本知识，了解基本的法律概念，然后再探讨交易结构和全球投资的战略规划。此外，也会调查公司的责任和合规/道德问题。在课堂上，将使用真实案例讨论以及介绍有关商业道德等方面的知识。

 

A graduate student/practitioner overview of the legal, ethical, and regulatory environment in which global businesses must function. The course focuses on the role of business in society and will include a review of the legal system to include employment law, the court system, contract law, intellectual property, and international law. Integrated throughout the course are issues related not only to law but to ethics and social responsibility of organizations to society. More specifically, due to the attention of the international market to Chinese enterprises, the investment of Chinese enterprises has always been a hot topic in the world. Therefore, students will learn basic knowledge and understand basic legal concepts in the course. Then, they will discuss the transaction structure and strategic planning of global investment. In addition, the company's responsibilities and compliance/ethical issues will also be investigated. Dr. Min-Chi Huang

 

黄敏琪，美国圣路易斯华盛顿大学法学博士，美国法律协会以及纽约州法律协会会员。黄敏琪博士专注于跨境并购交易、外国直接投资（FDI）、私募股权和风险投资交易以及战略投资。她在中国有十多年的实践经验。黄敏琪博士与各种领域的客户均有合作，包括制造业、航空业、金融服务业、科技行业、生物技术和制药行业、教育行业、电子商务行业、能源行业和汽车行业。
黄敏琪博士在代理中国企业进行跨境并购交易方面经验丰富，为作为收购方的中国企业或为作为被收购方的外资企业在其交易中提供法律咨询。尤其是在并购项目中，美国外国投资委员会（CFIUS）、美国出口管制和经济制裁是许多中国对美境外投资的关键问题，黄敏琪博士就整个交易过程中的该等问题与美国监管律师团队展开密切合作。她非常了解目前中国在全球投资的困难，并掌握这方面的第一手信息，能运用其宝贵的经验，直接在中国为本地客户提供法律咨询建议。她近期多和美国政府监管律师团队合作代理中国企业处理其涉及美国出口管制和经济制裁的相关事宜。除并购业务以外，她还为中国的一流金融机构提供融资交易方面的法律建议，特别是各类结构化夹层融资和并购融资。

 

Angel Huang received her J.D. from Washington University in St. Louis, and she is also a member of the American Bar Association and the New York State Bar Association. Angel Huang focuses her practice on cross-border M&A transactions, foreign direct investments (FDIs), private equity and venture capital transactions, and strategic investments. She has more than a decade of experience practicing in China. Angel represents clients in a broad range of sectors, including manufacturing, aviation, financial services, technology, biotech and pharmaceuticals, education, e-commerce, energy, and automotive.
Angel has extensive experience in Chinese outbound transactions where she represents both Chinese companies in their acquisitions overseas and foreign targets of Chinese outbound acquisitions. In particular, she works closely with regulatory lawyers on the key issues involved with most Chinese outbound investments in the United States, for example, CFIUS, U.S. export control, and economic sanctions issues. She has first-hand experience regarding current hurdles to Chinese companies involving their investment worldwide and can advise clients based on her valuable local experience. She recently represented Chinese companies along, with U.S. government regulation lawyers, on U.S. export control and sanction matters. Apart from M&A work, Angel advises leading Chinese financial institutions in financing transactions, especially on mezzanine and acquisition financings in various structures.
